Welcome to MPMG-AI, a division of M-Power Management Group, LLC (“we,” “us,” “our”).
These Terms and Conditions (“Terms”) govern your use of our website mpmg-ai.com, our marketing and automation services, and any related tools, products, or communications.

1. Services Provided

MPMG-AI provides marketing, advertising, automation, and CRM management services designed to help businesses grow and operate efficiently.
Services may include, but are not limited to:

Funnel and website development

Paid advertising campaign setup and management

Email/SMS automation

AI chatbot and CRM configuration

Analytics and performance tracking

Consulting and strategy sessions

Specific deliverables, costs, and timelines will be defined in your signed proposal, service agreement, or invoice.

2. Payment and Billing

All payments are processed securely through our authorized payment providers.

Deposits & Retainers: A deposit may be required to begin work. Work does not commence until payment is received.

Monthly Services: Ongoing services are billed automatically each month until canceled with written notice (7-day minimum).

Refunds: Due to the nature of digital marketing and custom deliverables, payments are generally non-refundable once services have begun.

Late Payments: Invoices unpaid after 10 days may result in suspension of services or additional fees.

3. Client Responsibilities

To ensure success, clients agree to:

Provide accurate and timely information, materials, and approvals.

Maintain access to required accounts (social media, websites, CRMs, ad platforms, etc.).

Refrain from requesting campaigns that violate platform policies or applicable laws.

We are not responsible for delays or campaign performance issues resulting from missing information or access restrictions.

4. Intellectual Property

All creative materials, strategies, and systems developed by MPMG-AI remain our intellectual property until payment is received in full.
After full payment, ownership of final deliverables (e.g., ads, websites, automations) transfers to the client, excluding third-party software or licensed assets.

Clients may not reproduce, resell, or distribute proprietary tools or templates provided by MPMG-AI without written consent.

5. Confidentiality

We respect your privacy and business data.
All client information, business strategies, and campaign data are treated as confidential and used solely to deliver contracted services.
We may reference your business name or logo in marketing materials only with your permission.

6. Disclaimer of Guarantees

Marketing results vary based on numerous factors, including ad spend, market conditions, and client participation.
While we aim to deliver exceptional outcomes, we do not guarantee specific results, leads, or revenue.

All advice, data, and recommendations are provided for strategic and educational purposes.
The client retains full responsibility for decisions and implementation beyond the agreed scope.

7. Limitation of Liability

To the fullest extent permitted by law, M-Power Management Group, LLC and MPMG-AI are not liable for:

Lost profits, data, or revenue

Indirect, incidental, or consequential damages

Platform errors, outages, or third-party system issues

Our total liability shall not exceed the amount paid by the client for the specific service in dispute.

8. Cancellations and Termination

Either party may terminate an ongoing agreement with written notice of at least 7 days.

Services already rendered, or work in progress, will remain billable.

MPMG-AI reserves the right to terminate service immediately if a client engages in illegal activity, abuse, or non-payment.

Upon termination, client access to hosted systems, automations, or ad accounts may be revoked until balances are paid in full.

9. Third-Party Tools and Integrations

Our services often connect to third-party tools (e.g., Facebook, Google, GoHighLevel, Stripe, etc.).
We are not responsible for changes in third-party features, performance, or policies that affect your results.

You agree to abide by the Terms and advertising policies of these platforms.

10. Data Protection

We collect and store only necessary business information as outlined in our Privacy Policy.
All data is secured through encryption and trusted providers.
We do not sell, rent, or trade your data.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, USA.
Any disputes shall be handled in the courts of Cook County, Illinois.
